Terms of Service

These terms are written for Shoplist's current product: a B2B intelligence platform for Shopify ecosystem research, monitoring, exports, and related workflows. If you have a signed order form or master services agreement with Shoplist, that signed agreement controls where it conflicts with these terms.

1. Agreement

These Terms of Service ("Terms") are a legal agreement between Shoplist Inc. ("Shoplist," "we," "us," or "our") and the person or organization using Shoplist ("Customer," "you," or "your"). By accessing the website, dashboard, APIs, exports, data, reports, alerts, or other Shoplist services (the "Services"), you agree to these Terms.

If you use the Services for a company, you represent that you are authorized to bind that company. If you do not agree to these Terms, do not use the Services.

2. The Services

Shoplist provides Shopify ecosystem intelligence, including public and productized signals about apps, developers, brands, storefronts, agencies, app-stack evidence, listing changes, reviews, pricing, categories, relationships, and related business context. Some data is observed directly, some is detected from public evidence, and some is inferred or estimated.

Data can be incomplete, stale, or wrong. Shoplist is a research and workflow tool, not legal, financial, investment, or compliance advice. You are responsible for reviewing outputs before acting on them.

3. Accounts and access

You are responsible for your account, workspace, users, API keys, connected integrations, and all activity under your credentials. Keep credentials confidential, use accurate account information, and notify us promptly at support@shoplist.co if you suspect unauthorized access.

You may only allow employees, contractors, or agents who work for you and need the Services for your internal business purposes to access your account. You are responsible for their compliance with these Terms.

4. License to Shoplist data and services

Subject to your plan, payment, documentation, and these Terms, Shoplist grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and Shoplist data for your internal business purposes.

Permitted internal business purposes include market research, prospecting, account planning, competitive monitoring, CRM enrichment, investment research, vendor discovery, and internal sales or marketing workflows. Any rights not expressly granted are reserved by Shoplist.

5. Restrictions that protect the product

You may not use the Services, Shoplist data, exports, APIs, screenshots, reports, derived datasets, or any substantial portion of them to:

  • build, train, validate, benchmark, improve, or operate a competing or substitute product, dataset, model, directory, marketplace, enrichment service, lead database, technographics database, or intelligence platform;
  • resell, rent, publish, redistribute, sublicense, syndicate, share, disclose, or otherwise make Shoplist data available to third parties, except for limited excerpts reasonably necessary in your own internal work product;
  • reconstruct, mirror, scrape, bulk download, cache, or compile a database that replicates all or a substantial part of Shoplist;
  • provide a service bureau, outsourced data service, public lookup, customer-facing integration, or embedded data product powered by Shoplist data without our written permission;
  • evade plan limits, export limits, credits, API rate limits, seat limits, or other usage controls, including by creating multiple accounts;
  • access undocumented APIs, reverse engineer the Services, interfere with security or monitoring controls, or use bots, crawlers, or automated extraction outside the interfaces we provide;
  • remove proprietary notices, watermarks, attribution, source labels, confidence labels, or usage metadata; or
  • use the Services unlawfully, deceptively, abusively, or in a way that harms Shoplist, our customers, data subjects, or third parties.

6. Exports, API, credits, and fair use

Exports, API access, credits, enrichment, alerts, monitored records, and other usage-based features are subject to the limits and restrictions shown in your plan, order form, product UI, API documentation, or applicable policy. Marketing language such as "large" or "unlimited" access is subject to fair use, technical limits, anti-abuse protections, and these Terms.

We may monitor usage for security, abuse prevention, billing, compliance, and product protection. We may throttle, suspend, limit, or require a different plan if usage creates risk, circumvents limits, or is inconsistent with the intended plan.

7. Outreach and compliance responsibilities

Shoplist may help you identify businesses, apps, brands, developers, contacts, or accounts. You are responsible for how you use that information, including compliance with email, telemarketing, privacy, consumer protection, data broker, export control, anti-spam, and other laws that apply to your use.

You must honor suppression lists, opt-outs, unsubscribes, do-not-call requests, and data subject requests where required. You may not use Shoplist to send spam, unlawful marketing, deceptive messages, or campaigns that violate platform or provider rules.

8. Customer data

"Customer Data" means data, files, prompts, lists, notes, imports, integrations, workspace settings, and other content you submit to the Services. As between you and Shoplist, you retain ownership of Customer Data.

You grant Shoplist the rights needed to host, process, transmit, display, analyze, secure, back up, and support Customer Data to provide and improve the Services, comply with law, prevent abuse, and enforce these Terms. You represent that you have the rights and notices needed to provide Customer Data to Shoplist.

We do not sell Customer Data. We do not intentionally use Customer Data to train public AI models. See the Privacy Notice for more detail.

9. AI and generated output

The Services may include AI-assisted features. AI output can be inaccurate, incomplete, or similar to output provided to others. You are responsible for reviewing AI output before use and for ensuring your inputs and uses comply with these Terms and applicable law.

You may not use Shoplist data, Customer Data processed through Shoplist, or Shoplist outputs to train, fine-tune, validate, or operate a model or automated system that competes with or substitutes for Shoplist without our written permission.

10. Billing, subscriptions, and refunds

Paid plans renew until canceled unless your order form says otherwise. You authorize Shoplist and our payment processors to charge the fees, taxes, and other amounts associated with your plan. You are responsible for keeping billing information current and canceling before renewal if you do not want the plan to renew.

Fees are non-refundable except where required by law or expressly stated in your order form. Because exports, API usage, enrichment, and data access can deliver immediate value, we may deny refunds after non-sample exports, API usage, integrations, enrichment, or substantial account access. Contact support@shoplist.co before initiating a billing dispute so we can investigate.

11. Intellectual property and feedback

Shoplist and its licensors own the Services, software, interfaces, designs, workflows, datasets, source labels, scoring methods, documentation, reports, trademarks, and other intellectual property associated with Shoplist. These Terms do not transfer ownership of Shoplist intellectual property to you.

If you send suggestions, ideas, bug reports, or other feedback, you allow us to use it without restriction or compensation.

12. Confidentiality and security

Non-public product details, pricing, data samples, documentation, security materials, roadmaps, and other information we mark or should reasonably be understood as confidential are Shoplist confidential information. You may use confidential information only to evaluate or use the Services and must protect it with reasonable care.

We use reasonable administrative, technical, and organizational safeguards, but no service is perfectly secure. You are responsible for using the Services securely, including managing user access, integrations, downloads, and exported files.

13. Third-party services

The Services may link to or integrate with third-party platforms, processors, data providers, AI providers, analytics providers, payment processors, CRMs, email tools, cloud providers, or other services. Third-party services are governed by their own terms and policies. We are not responsible for third-party services outside our control.

14. Suspension and termination

We may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay, misuse the Services, exceed reasonable usage limits, or use Shoplist in a way that threatens the product, data, customers, or third parties.

You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including payment obligations, license restrictions, confidentiality, disclaimers, limitations of liability, indemnity, and dispute terms.

15. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Shoplist disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted operation.

We do not warrant that data, detections, estimates, contact information, scores, rankings, alerts, AI output, exports, integrations, or reports will be current, complete, accurate, or suitable for your specific use.

16. Limitation of liability

To the maximum extent permitted by law, Shoplist will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, goodwill, or procurement of substitute services.

To the maximum extent permitted by law, Shoplist's total liability for any claim related to the Services or these Terms is limited to the greater of 100 U.S. dollars or the amount you paid to Shoplist for the Services giving rise to the claim in the three months before the event giving rise to liability.

17. Indemnification

You will defend, indemnify, and hold harmless Shoplist and our officers, directors, employees, contractors, agents, affiliates, and licensors from claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising from your use of the Services, Customer Data, outreach or marketing activities, exports, API usage, violation of these Terms, violation of law, or infringement or misuse of third-party rights.

18. Privacy and data requests

Our Privacy Notice explains how we collect, use, disclose, and protect personal information. To request access, deletion, correction, opt-out, suppression, or removal from Shoplist data products, visit Data Requests or email privacy@shoplist.co.

19. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, unless a signed agreement says otherwise. Before filing a claim, the parties will try in good faith to resolve the dispute by emailing a written notice to the other party and allowing 30 days for informal resolution.

If a dispute is not resolved informally, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, except that either party may seek injunctive relief in any court with jurisdiction. To the maximum extent permitted by law, disputes must be brought individually and not as a class or representative action.

20. Changes and contact

We may update these Terms as the product and legal requirements evolve. The updated date shows when the latest version took effect. Continued use of the Services after an update means you accept the updated Terms.
